Investment Risk Disclosure and Disclaimer
Effective Date: March 23, 2026
Last Updated: March 23, 2026
In this "Investment Risk Disclosure and Disclaimer," the terms "we," "us," "our," or "the Company" refer to Hanco Lab, the provider of IT/SW software and solutions.
In these terms, the "Customer" encompasses both individuals or entities that commission the Company for customized system development (Clients) and those who utilize the Software-as-a-Service provided by the Company, such as OptiView (Users). Furthermore, all deliverables and professional services provided by the Company to the Customer—including but not limited to software, systems, data, and SaaS—are collectively defined as the "Services."
Article 1 (Identity of the Company and Nature of the Services)
[Identity as a Pure Information and Communication Technology (ICT) Company] The Company is a pure Information and Communication Technology (ICT) company that provides "customized software (S/W) system development" based on customer requirements and "SaaS" (Software-as-a-Service) based on large-scale data statistical analysis.
[Exclusion of Financial Investment Business and Nature of Quasi-Investment Advisory Registration] The Company is not an investment advisory business or a discretionary investment management business under the Financial Investment Services and Capital Markets Act. Under no circumstances does the Company provide 1:1 customized investment advice, stock recommendations, or asset management execution services tailored to an individual Customer’s financial status or investment objectives. While the Company may file for or obtain registration as a "Quasi-Investment Advisory Business" for comprehensive legal compliance and business stability, this serves merely as an administrative safeguard and does not imply that the Company's core services constitute a financial investment business.
[Nature of Customized Software Development Solutions (Mere Computational Tools)] The software and systems provided by the Company as part of its "Customized Automated Trading Development Solutions (Services)" are merely "computational and communication tools" that mechanically execute the trading strategies and parameters directly designed and provided by the Customer. The Company does not verify or guarantee the profitability or validity of such trading strategies. The Customer who designed and operated the trading strategy bears sole and absolute responsibility for any order transmissions and execution results made through the software.
[Nature of SaaS Solutions (e.g., OptiView) and Exclusion of Investment Solicitation] The software, right to use the software, data, charts, and analytical materials provided by the Company as part of its "OptiView SaaS Solutions" are "results of objective computations" created by processing and visualizing financial data based on mathematical and statistical algorithms. These materials are not intended to solicit the purchase or sale of specific financial instruments, provide investment advice, or guarantee any investment performance.
Article 2 (No Guarantee of Profit and Limitations of Software Computational Results)
[Nature of Computational Results and Statistical Limitations] The back-testing results, software execution and computational outcomes, and algorithmic execution results provided by the Company's Services are purely mathematical and statistical computational outputs based on historical and current market data.
[Disclaimer of Future Profit Guarantees and Risk of Principal Loss] A past statistical edge or historical profitability does not, under any circumstances, guarantee future returns or profits. All investment activities involve inherent risks. Depending on the investment instruments traded and fluctuations in market conditions, Customers may experience a partial or total loss of their principal investment, or even losses exceeding the initial principal.
[Sole Responsibility for Final Decision-Making and Disclaimer of Liability for Investment Outcomes] The final judgment and decision-making for all investments and investment-related actions executed by utilizing or referencing the Company's Services must be made strictly and solely at the Customer's own risk and responsibility. The Company shall not be held liable for any investment outcomes whatsoever, including, but not limited to, investment losses or the failure to achieve expected returns.
[Technical Limitations of AI and Algorithmic Services and Disclaimer of Liability] Certain Services provided by the Company utilize Artificial Intelligence (AI) and algorithmic technologies. These Services function by technically processing conditions, commands, parameter settings, and weights inputted by the Customer to derive results. The outcomes of such computational processing may vary depending on the Customer's inputs, real-time market data, and the specific technical processing methods employed. Furthermore, AI and algorithm-based services may produce inaccurate or divergent results due to technical limitations, data errors, delays or omissions in information feeds, or sudden shifts in market environments. The Company disclaims any and all liability for investment losses or damages arising from such occurrences.
Article 3 (Customer's Responsibilities and Obligations)
[Final Decision-Making Authority and Attribution of Results] In the event that the software (or the computational results thereof) provided by the Company is deployed and operated in live trading, the final decision-making authority and responsibility lie entirely with the Customer who receives, accepts, and utilizes the software (or the license to use the software). All financial losses and profits, as well as the accompanying liabilities, derived from executing investment activities using the Company's software (or its computational results) as a tool or basis, shall be solely attributed to the Customer. The Company shall not bear any liability whatsoever in this regard.
[Obligation for Prior Verification and Strict Compliance with Manuals] The Customer is obligated to fully understand the system's logic, parameter settings, investment risks, and the potential for financial loss, and must independently verify the normal operation of the software in a test environment (e.g., simulated/paper trading) prior to live use. Furthermore, the Customer must fully review and strictly adhere to the software user manuals and precautions provided by the Company in advance.
[Obligation for Security Management] The Customer bears the sole responsibility for strictly maintaining the confidentiality and secure management of all security information required to run the software, including API information, server IPs, and passwords. The Company shall not be held liable for any security breaches, incidents, or property losses resulting from the Customer's negligence in management, data leakage, or unauthorized transfer of such information to third parties.
[Exemption from Third-Party Disputes and Customer's Duty to Defend (Indemnification)] The Company is under no obligation to intervene in any form of dispute arising between Customers, or between a Customer and a third party (including the Customer's end-users) mediated by the Services, and shall not be liable for any damages in connection therewith. Should a third party raise a claim or initiate litigation against the Company in connection with the Customer's use of the Services, the Customer must fully indemnify, defend, and hold the Company harmless at the Customer's own expense and responsibility. Furthermore, the Customer must completely compensate the Company for any and all direct and indirect damages incurred as a result.
Article 4 (Exemption from Liability due to Technical Limitations, External Integration Environments, and Force Majeure)
[Exemption for External Integration Environments and Uncontrollable Variables] The software systems provided by the Company operate based on IT infrastructure and global financial networks. Due to the following force majeure events and technical limitations, unexpected malfunctions and errors may occur. The Company shall not be liable for any losses resulting from such events:
A. [Issues with Exchanges, Securities Firms, Brokers, or Integrated Third-Party Platforms] Any malfunctions including, but not limited to, server maintenance, downtime, communication delays and disconnections, API Rate Limit exceedances, and order omissions caused by unexpected delays and errors on the part of integrated global exchanges, securities firms, brokers, or platforms.
B. [Infrastructure Issues] Any issues concerning the system operating environment and infrastructure, including physical failures of cloud servers, temporary internet disconnections, and inadequacies or malfunctions of the Customer's servers and PCs.
C. [Issues Arising from the Unpredictability of Market Conditions and the Nature of Financial Software] Losses or issues due to market volatility, including slippage, failures in executing limit orders, gaps occurring during market orders, spreads, irregular market holidays and changes in operating hours, unpredictable events such as circuit breakers, and delays in order processing and responses.
D. [Issues regarding Policy Changes by Exchanges, Securities Firms, Brokers, or Integrated Third-Party Platforms] Any software malfunctions and communication disconnections resulting from changes in the trading and usage policies, API policies, or API parameter structures of integrated exchanges, securities firms, brokers, or third-party platforms.
E. [Unexpected Changes in Traded Instruments and Trading Environments] Trading restrictions due to the suspension of trading, delisting, or designation of cautious investment instruments; termination of operations or services by integrated securities firms, exchanges, or brokers; and access blocks (geo-blocking) due to changes in service regions.
F. [Force Majeure and Security Incidents] System paralysis caused by force majeure events beyond the Company's control, such as natural disasters, national emergencies, exchange and server hacking, and enterprise-wide DDoS attacks.
[Disclaimer of Software Integrity Warranty and Provision on an "AS-IS" Basis] The Company makes its best efforts to provide commercially reasonable software, conducting stress tests under various conditions prior to software deployment to minimize the possibility of malfunctions. However, due to the complex nature of modern software, the possibility of undiscovered edge cases or logical flaws (bugs) cannot be entirely ruled out technically. Therefore, all software is provided strictly on an "AS-IS" basis. The Company explicitly clarifies that it does not guarantee a completely bug-free state of the software, nor does it legally warrant that the software will be 100% suitable for the Customer's specific investment objectives or profit generation.
[Limitation of Maintenance Scope and Exemption from Indirect and Special Damages] If an inherent design error or flaw is discovered in the Company's software, the Company will fulfill its technical obligation to restore the system by patching the defect, in accordance with the pre-agreed maintenance period and terms. However, given the nature of financial markets, the outcomes of the software cannot be predicted. Therefore, regarding all forms of "indirect damages, consequential damages, and special damages"—including but not limited to trading losses derived from the Customer's real or virtual accounts due to such defects, loss of expected profits, opportunity costs, data loss, and liability for compensation to third parties—the Company shall bear no civil or criminal liability for damages, regardless of whether the Company was advised of or could have foreseen the possibility of such damages.
Article 5 (Limitation of Claims for Damages)
[Limitation of Claims for Damages] Unless willful misconduct or gross negligence on the part of the Company is proven, the Customer shall not claim civil or criminal damages against the Company, its representatives, officers, or employees for any direct or indirect damages, consequential damages, loss of profits, or opportunity costs arising from the use, inability to use, or malfunction of the software provided by the Company.
[Deemed Consent through Use of Services] The Customer's use of any services, software, or the computational results thereof provided by the Company shall constitute full consent and agreement to this "Investment Risk Disclosure and Disclaimer." If you do not agree to this "Investment Risk Disclosure and Disclaimer," you must not use any services, solutions, or software provided by the Company.
Article 6 (Attribution of Copyrights and Intellectual Property Rights)
[Attribution of Copyrights and Intellectual Property Rights] Unless a separate written agreement exists, the Company retains all copyrights and other intellectual property rights to all services, content, data, analytical materials, screen designs (UI/UX), algorithms, software, and any other materials provided by the Company.
[Prohibition of Unauthorized Sharing with Third Parties and Reverse Engineering] The Customer shall not unauthorizedly reproduce, copy, transmit, publish, distribute, broadcast, or otherwise utilize the aforementioned materials for commercial or non-commercial purposes without the prior written consent of the Company. Furthermore, the Customer is strictly prohibited from engaging in reverse engineering, decompiling, extracting source code from, or providing the provided software to any third party.
This legal notice serves as the default policy applicable to all general customers utilizing the Company's services and products. In the event that a separate agreement, contract, or specific guideline (such as a Refund Policy) has been established between the Company and the Customer in connection with the provision of specific services and products, the provisions of such separate documents shall take precedence over and supersede these terms.
[Addendum] This "Investment Risk Disclosure and Disclaimer" shall be effective as of March 23, 2026.
